Applications and Entire Agreement
These Terms and Conditions will apply to the purchase of the Goods detailed in the Seller’s quotation (Goods) by the buyer (you or customer) from Get Laid Beds Ltd, a company registered in England and Wales under number 07919911, whose registered office is at: Barn 3 - 5 Wharf Way Business Park, Wharf Way, Glen Parva, Leicester LE2 9UT (we or us or Supplier).
These terms and conditions will be deemed to have been accepted by the Buyer when the Buyer accepts them or the quotation or from the date of any delivery of the Goods (whichever happens earlier) and will constitute the entire agreement between the Seller and the Buyer.
These Terms and Conditions and the quotation (together, the Contract) apply to the purchase and sale of any Goods between the Seller and the Buyer, to the exclusion of any other terms that the Buyer may try to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.
Interpretation and Formation
Goods
The description of the Goods is set out in the Seller’s sales documentation, unless expressly changed in the Seller’s quotation. In accepting the quotation the Buyer acknowledges that the Buyer has not relied upon any statement, promise or other representations about the Goods by the Seller. Descriptions of the Goods set out in the Seller’s sales documentation are intended as a guide only.
The Seller can make any changes to the specification of the Goods which are required to conform to any applicable safety or other statutory or regulatory requirements.
Price
The Price of the Goods is set out in the Seller’s quotation current at the date of the Buyer’s order or such other Price as the Seller may agree in writing.
If the cost of the Goods to the Seller increases due to any factor beyond the Seller’s control including, but not limited to, material costs, labour costs, alteration of exchange rate or duties, or changes to delivery rates, the Seller can increase the Price prior to delivery.
If the cost of the Goods to the Seller increases due to any factor beyond the Seller’s reasonable control, including but not limited to increases in material costs, labour costs, exchange rates, duties, taxes or delivery charges, the Seller may increase the Price by giving written notice to the Buyer at any time before manufacture or dispatch of the Goods.
The Buyer may be entitled to discounts, Any and all discounts will be at the Seller’s discretion.
The Price is inclusive of fees for packaging and transportation/delivery.
The Price is inclusive of any applicable VAT and other taxes or levies which are imposed or charged by any competent authority.
Cancellation and Alteration
Details of the Goods as described (Goods) and set out in the Seller’s sales documentation are subject to alteration without notice and are not a contractual offer to sell the Goods which is capable of acceptance.
The quotation is valid for 30 days from its date unless withdrawn earlier by the Seller. No binding contract shall arise until the Seller has accepted the Buyer’s Order in writing. Prior to such acceptance, either party may withdraw from negotiations without liability.
Payment
The Seller will invoice the Buyer upon acceptance of the Seller’s quotation. Unless otherwise agreed in writing by the Seller, payment in full must be received in cleared funds before manufacture of the Goods commences.
The Seller reserves the right to delay manufacture, dispatch or delivery of the Goods until full payment has been received.
Where the Seller has agreed alternative payment terms in writing, the Buyer shall pay all invoices in accordance with those agreed terms. Time for payment shall be of the essence of the Contract.
All payments shall be made in the currency specified on the Seller's quotation or invoice, unless otherwise agreed in writing by the Seller.
Delivery
The Seller will arrange for the delivery of the Goods to the address specified in the quotation or Buyer’s order or to another location we agree in writing. If the Buyer does not take delivery of the Goods the Seller may, at their discretion and without prejudice to any other rights store or arrange for the storage of the Goods and will charge you for all associated costs and expenses including, but not limited to, transportation, storage and insurance, and/or make arrangements for the redelivery of the Goods and will charge you for the costs of such redelivery; and/or resell or otherwise dispose of part or all of the Goods and charge you for any shortfall below the price of the Goods.
Any dates quoted for delivery are approximate only, and the time of delivery is not of the essence. The Seller will not be liable for any delay in delivery of the Goods that is caused by a circumstance beyond the Seller’s control or the Buyer’s failure to provide The Seller with adequate delivery instructions or any other instructions that are relevant to the supply of the Goods.
The Seller can deliver the Goods by instalments, which will be invoiced and paid for separately. Each instalment is a separate contract. Any delay in delivery or defect in an instalment will not entitle the Buyer to cancel any other instalment.
Where assembly services are purchased by the Buyer, the Buyer shall ensure that suitable and safe access is available to the delivery address and assembly location. If the Seller is unable to complete the assembly service due to inadequate access, health and safety concerns or circumstances within the Buyer’s control, the Seller may charge the Buyer for any additional costs reasonably incurred in arranging a further visit.
Inspection and Acceptance of Goods
The Buyer must inspect the Goods on delivery. If the Buyer identifies any damage or shortages, the Buyer must inform the Seller in writing within 7 days of delivery, providing details. Other than by agreement, the Seller will only accept returned Goods if the Seller is satisfied that those Goods are defective and if required, have carried out an inspection.
Subject to the Buyer's compliance with this clause and/or the Seller’s agreement, the Buyer may return the Goods and the Seller will, as appropriate, repair, or replace, or refund the Goods or part of them.
The Seller will be under no liability or further obligation in relation to the Goods if:
1) The Buyer fails to provide notice as set above
2) The Buyer makes any further use of such Goods after giving notice under the clause above relating to damages and shortages.
3) The defect arises because the Buyer did not follow the Seller’s oral or written instructions about the storage, installation, use and maintenance of the Goods
4) The defect arises from normal wear and tear of the Goods
5) The defect arises from misuse or alteration of the Goods, negligence, wilful damage or any other act by the Buyer, the Buyer’s employees or agents or any third parties.
The Buyer bears the risk and cost of returning the Goods, and acceptance of the Goods will be deemed to be upon inspection of them by the Buyer and in any event within 7 days after delivery.
Risk and Title
The risk in the Goods will pass to the Buyer on competition of delivery.
Title to the Goods will not pass to the Buyer until the Seller has received payment in full for the Goods or any other Goods or services that the Seller has supplied to you in respect of which payment has become due.
Until title to the Goods has passed to the Buyer, the Buyer must hold the Goods on a fiduciary basis as the Seller’s bailee; and /or store the Goods separately and not remove, deface or obscure any identifying mark or packaging on or relating to the Goods and/or; keep the Goods in satisfactory condition and keep them insured against all risks for their full price from the date of delivery.
As long as the Goods have not been resold, or irreversibly incorporated into another product, and without limiting any other right or remedy the Seller may have, the Seller can at any time ask the Buyer to deliver up the Goods and, if the Buyer fails to do so promptly, enter any of your premises or of any third party where the Goods are stored in order to recover them.
Limitation of Liability
1) Liability for death or personal injury is unlimited.
2) Liability for fraud or fraudulent misrepresentation is unlimited.
3) The seller is not liable for loss of profit.
4) The seller is not liable for indirect losses.
5) Total liability is capped at the contract price.
**Termination
**
The Seller or Buyer can terminate the sale of Goods under the Contract where:
1) The Buyer or Seller commits a material breach of the obligations under these Terms and Conditions
2) The Buyer or Seller is, or becomes the subject of a bankruptcy order.
3) Termination does not affect accrued payment rights.
General
1) Force Majeure excuses performance during unexpected events.
2) This contract is governed by English law.
3) English courts have exclusive jurisdiction over disputes.
